Wholesale Supply & Export Guidelines for B2B Partners

1. Introduction & Scope

These Terms and Conditions govern the wholesale procurement, custom production, and export of RIVA BLANC branded products. RIVA BLANC is a premium resort and summer product concept operated exclusively by KONUK GLOBAL ("we", "us", "our").

By requesting a quotation, placing a wholesale order, or accessing our B2B Lookbook, the buyer ("Partner", "Client", "Retailer") agrees to the commercial terms stipulated below. These terms apply specifically to B2B (Business-to-Business) transactions; consumer retail laws do not apply.

2. Orders & Production

2.1. Seasonal Planning & Pre-Orders

RIVA BLANC collections are primarily produced on a seasonal schedule. To ensure timely delivery for the resort season, we highly encourage placing wholesale pre-orders at least 6 to 8 weeks prior to your required in-store delivery date. Production capacities are allocated on a first-come, first-served basis upon receipt of the advance payment.

2.2. Minimum Order Quantities (MOQ)

MOQs are enforced to maintain production efficiency and premium quality standards. The specific MOQ for each product category (e.g., beach bags, pareos, towels) will be clearly detailed in your official B2B quotation. We reserve the right to decline orders that do not meet these minimum requirements.

3. Pricing & Payment Terms

3.1. Currency & Validity

All wholesale prices are strictly confidential. Quotations are provided in USD or EUR. Due to fluctuations in global textile and raw material markets, Pro-Forma Invoices are valid only for the duration specified on the document (typically 14 days).

3.2. Payment Schedule

Unless a separate corporate credit agreement has been established, standard terms dictate:

  • A 50% non-refundable advance payment via international bank transfer (SWIFT) to initiate raw material procurement and production.
  • The 50% remaining balance is required upon completion of the goods, strictly prior to dispatch from our facilities in Türkiye.

All intermediary banking fees are the responsibility of the buyer.

4. Manufacturing Tolerances

RIVA BLANC products incorporate natural fibers, woven materials, and artisanal finishes. Therefore, standard textile industry tolerances apply:

  • Dimensions & Weight: A size or weight variance of ±3% to 5% is acceptable for woven goods, towels, and pareos.
  • Color Matching: While we strive for absolute consistency, slight tonal variations between different dye lots or compared to digital Lookbook screens are normal and do not constitute a defect.
  • Natural Fibers: Minor slubs or irregularities in linen and cotton canvas are inherent characteristics of the premium natural fibers used and are not considered flaws.

5. Shipping, Logistics & Customs

5.1. Incoterms

Standard quotations are issued under EXW (Ex Works) or FOB Türkiye terms. The buyer is responsible for arranging ocean/air freight, transit insurance, and managing import procedures.

5.2. Import Duties & Delays

The buyer assumes total responsibility for all destination country import duties, VAT, customs clearance fees, and required local certifications. We are not liable for transit delays caused by international freight carriers, customs holds, or force majeure events.

6. Claims & Returns

As a B2B supplier, we do not operate a "buyer's remorse" or unsold inventory return policy. All sales are final.

If you identify a critical manufacturing defect or a discrepancy in the delivered quantity, you must notify us in writing (with clear photographic evidence and packing lists) within 7 business days of receiving the shipment. Approved claims will be compensated via credit notes or replacement in future orders.

7. Brand Positioning & IP Guidelines

RIVA BLANC restricts the distribution of its branded products to protect its premium market positioning.

  • Approved Channels: Retail within independent boutiques, luxury hotel shops, beach clubs, and the buyer’s proprietary e-commerce store.
  • Restricted Channels: Reselling RIVA BLANC products on mass third-party marketplaces (e.g., Amazon, eBay, AliExpress) is strictly prohibited without written authorization.
  • Intellectual Property: Our Lookbook imagery, lifestyle photography, and logos remain the intellectual property of Konuk Global. Partners are granted a limited license to use provided marketing materials solely for promoting the products within their approved channels.

8. Governing Law

These terms and any commercial agreements shall be governed by the laws of the Republic of Türkiye. Any disputes shall be subject to the exclusive jurisdiction of the commercial courts in Muğla, Türkiye.
